We represented a minority partner of an established company in the field of medical services in this transaction. Our task was to represent the client from the initial evaluation throughout the strategy set-up, establishing and implementing an effective defence to conducting negotiations until the transaction’s successful conclusion with reasonable terms.
Challenges along the way
Above all, the key was to rediscover the way to a reasonable agreement between all the partners. We managed to realistically assess the situation and prepare an effective strategy. Furthermore, we convinced the other party that it is better to reach a reasonable agreement than to resolve the matter with force, which would ultimately harm both parties and especially the value of the company as a whole.
The sale of minority shares is a specific M&A discipline, where everything depends on the seller’s determination to realistically assess the situation, persist and push to the end. All the more so in cases where the partners had a falling-out. Much like during a divorce, the negotiations are full of emotions — the role of counsellors is to dull the edges and look for space to reach an agreement favourable for the client and acceptable to the other party. We managed to bring the difficult negotiations to a final compromise acceptable to both parties.
